End User Agreement

The act of logging in to, or accessing, the Software indicates that you have read and accepted the following terms:

Unless otherwise specified, BLUE Software, LLC (“BLUE”) is the sole owner of the Software. All Intellectual Property Rights in such Software shall remain the exclusive property of BLUE. You shall have no right, title or interest in the Software.

You agree that the Software contains proprietary information, including trade secrets, know-how and confidential information that is BLUE’s exclusive property. You agree to maintain the confidentiality of such information and that the Software may not be copied, reprinted, transcribed or reproduced in whole or in part. You shall not in any way modify, disassemble, decompile, translate, reverse engineer, make derivative works of, enhance or otherwise disclose or disseminate the Software to any third parties. You shall not assign, transfer, sublicense, rent or otherwise make available the Software in whole or in part or any copy thereof.

“Intellectual Property Rights” means all intellectual property rights, including without limitation rights with respect to copyright, moral rights, trademark, trade secret, patent, rights of publicity or rights of privacy.

“Software” means the applicable product or group of products for which you have proper access, which products may include, but are not be limited to, BLUE™, BLUE Pro™, BLUE X™, and all customizations, enhancements, improvements, modifications and updates thereto.
